Behind closed doors, a <strong>\u201cLegal Committee\u201d<\/strong> has been quietly operating \u2014 making major decisions <strong>without open votes<\/strong>, without public disclosure, and without any statutory authority to do so.<\/p>\n\n\n\n<p>Under <strong>\u00a7 718.112(2)(c)1, Florida Statutes<\/strong>, a condominium board <strong>\u201cmay not take action on behalf of the association except at a meeting open to all unit owners.\u201d<\/strong><br>That includes hiring attorneys, authorizing arbitration, and directing litigation.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>\ud83d\udd0e The Legal Committee Loophole<\/strong><\/h2>\n\n\n\n<p>Internal emails confirm that this \u201ccommittee\u201d has been meeting privately with counsel and advancing arbitration matters \u2014 all <strong>without a recorded Board vote<\/strong> or even notice to owners.<\/p>\n\n\n\n<p>This is an abuse of the <strong>closed-meeting exception<\/strong> in \u00a7 718.112(2)(c)3, which allows confidential meetings <em>only<\/em> to discuss <strong>specific litigation strategy<\/strong> or <strong>personnel issues<\/strong>.<br>Using that exception as a shield for everyday governance is a direct <strong>violation of state law<\/strong> and the <strong>Omega Villas By-Laws (Sections 7 and 9)<\/strong>, which require majority approval of the Board in a properly noticed meeting.<\/p>\n\n\n\n<p>Florida precedent makes this clear:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Berkley South Condo. Ass\u2019n v. Williams<\/strong>, 584 So. 2d 614 (Fla. 4th DCA 1991): Boards can\u2019t sidestep open-meeting laws by delegating authority to committees.<\/li>\n\n\n\n<li><strong>Levy v. Portofino South Condo. Ass\u2019n<\/strong>, DBPR Case No. 2001-06-8120: Committees performing Board functions must meet publicly and record actions.<\/li>\n<\/ul>\n\n\n\n<p>If this \u201cLegal Committee\u201d is approving legal filings, contract changes, or vendor work without an open vote, those acts are <strong>ultra vires<\/strong> \u2014 legally void.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>\ud83e\uddf1 Construction Scope Drift<\/strong><\/h2>\n\n\n\n<p>Vendor communications from late September 2025 show an expanding <strong>Scope of Work for utility and AC modifications<\/strong> that was never brought to an open Board vote WD_Updates_Sept15_Bundle_With_C\u20269.20.25 Gmail &#8211; Clubhouse AC re\u2026.<br>This repeats the same <strong>pattern of concealed contracting<\/strong> and financial manipulation first detailed in the <strong>September 15 Watchdog Bundle<\/strong>.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">\ud83c\udfda Circular Oversight Failure<\/h2>\n\n\n\n<p>Despite the <strong>August 28 Chief Inspector General Referral<\/strong> (CIG #2025-08-27-0012), neither DBPR nor its Inspector General has publicly responded 9.25.25 Gmail &#8211; \ud83d\udea8\ud83d\udea8 Circular O\u2026.<br>Regulators\u2019 silence keeps allowing Omega Villas\u2019 leadership to act in the shadows while banks and federal entities continue tracking the community\u2019s mounting compliance and governance failures.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>\u2696\ufe0f Legal and Financial Exposure<\/strong><\/h2>\n\n\n\n<p>Every unauthorized \u201cLegal Committee\u201d action exposes:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>The Association<\/strong> \u2013 for statutory and fiduciary violations under \u00a7 718.111(1)(a);<\/li>\n\n\n\n<li><strong>The attorney<\/strong> \u2013 for engaging in actions lacking formal client authorization;<\/li>\n\n\n\n<li><strong>Lenders and vendors<\/strong> \u2013 for accepting or disbursing funds based on invalid approvals.<\/li>\n<\/ul>\n\n\n\n<p>If those approvals drive future loan draws or escrow releases, it\u2019s a paper trail waiting to detonate.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>\ud83d\udd14 Call to Action<\/strong><\/h2>\n\n\n\n<p>Residents and stakeholders should:<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>Demand release of all Legal Committee meeting minutes and legal authorizations.<\/li>\n\n\n\n<li>Request proof of a <strong>recorded Board vote<\/strong> approving any arbitration or contract work.<\/li>\n\n\n\n<li>Report violations directly to the <strong>DBPR Inspector General<\/strong>, referencing <strong>CIG #2025-08-27-0012<\/strong>.<\/li>\n\n\n\n<li>Forward this update to your lenders and state oversight contacts.<\/li>\n<\/ol>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>\ud83e\udde8 Bottom Line<\/strong><\/h2>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p>Transparency isn\u2019t a courtesy.<br>It appears to now be  Florida <strong>law<\/strong> for HOAs.<br>Any \u201cLegal Committee\u201d operating in secrecy is not protecting this community \u2014 it\u2019s dismantling it from within.<\/p>\n<\/blockquote>\n\n\n\n<hr class=\"wp-block-separator
